LANTIVE ART LIMITED: TERMS OF SERVICE AND MEMBERSHIP AGREEMENT

PLEASE READ THESE TERMS OF USE ("AGREEMENT" OR "TERMS OF USE") CAREFULLY BEFORE USING THE SERVICES OFFERED BY LANTIVE ART LIMITED ("COMPANY"). THIS AGREEMENT SETS FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE GLOBAL ARTS AND ENTERTAINMENT ECOSYSTEM OPERATED BY THE COMPANY, INCLUDING BUT NOT LIMITED TO CONTEMPORARY ART PLATFORMS, FILM AND TELEVISION CONTENT, LITERARY PUBLISHING SERVICES, BESPOKE CONSUMER PRODUCTS, AND EXCLUSIVE LIFESTYLE AND TOURISM EXPERIENCES (COLLECTIVELY, THE "SERVICE").

BY ACCESSING OR USING THE SERVICE IN ANY MANNER, INCLUDING BUT NOT LIMITED TO BROWSING THE SITE OR SUBSCRIBING TO OUR ELITE COMMUNITIES, YOU AGREE TO BE BOUND BY THIS AGREEMENT. THIS AGREEMENT APPLIES TO ALL USERS, INCLUDING CONTRIBUTORS OF CONTENT, INFORMATION, AND OTHER MATERIALS.

1. Acceptance of Terms

The Service is offered subject to acceptance without modification of all of the terms and conditions contained herein (the "Terms of Use"), which also incorporates the Company's Privacy Policy and all other operating rules and procedures that may be published from time to time. By using the Service, you represent and warrant that you are of legal age to form a binding contract. LanTIve Art Limited may, in its sole discretion, refuse to offer the Service to any person or entity and change its eligibility criteria at any time.

2. Modification of Terms

LanTIve Art Limited reserves the right, at its sole discretion, to modify or replace any of the Terms of Use, or change, suspend, or discontinue the Service (including without limitation, the availability of any feature, database, or content) at any time. Company may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check the Terms of Use periodically for changes.

3. Membership and Fees

LanTIve Art Limited operates as a premier visionary powerhouse. Access to certain elite sections of the Service, community features, and exclusive content requires a formal membership.

• Membership Fee: You agree to pay a one-time membership registration fee of 200 Kwacha (approximately $7.50 USD).

• Currency and Taxes: Fees are quoted in Zambian Kwacha (ZMK) and its equivalent in U.S. Dollars (USD) for international billing. You are responsible for all taxes associated with your use of the Service.

• Non-Refundability: All fees paid to LanTIve Art Limited are non-refundable, except at the sole discretion of the Company.

4. Rules and Conduct

As a condition of use, you promise not to use the Service for any purpose that is prohibited by the Terms of Use. You are responsible for all of your activity in connection with the Service. You shall not (and shall not permit any third party to):

• Take any action that infringes any patent, trademark, trade secret, copyright, or right of publicity.

• Upload or distribute content that is false, misleading, untruthful, or inaccurate.

• Post material that is unlawful, threatening, abusive, harassing, defamatory, or invasive of another's privacy.

• Use the Service for unauthorized or unsolicited advertising, junk mail, or "spamming."

• Bypass any measures the Company may use to prevent or restrict access to the Service.

• Decipher, decompile, disassemble, or reverse engineer any part of the Service.

5. Registration and Security

To access certain aspects of the Service, you may be required to register and select a User ID and password. You shall provide accurate, complete, and updated registration information. You are solely responsible for the activity that occurs on your account and shall be responsible for maintaining the confidentiality of your password.

6. Content and Intellectual Property Rights

The Service contains Content specifically provided by LanTIve Art Limited or its partners and is protected by global copyrights, trademarks, and other proprietary rights.

• Company License: Company grants each user a worldwide, non-exclusive, non-sublicensable and non-transferable license to use the Content solely for personal, non-commercial use. Use for any other purpose is expressly prohibited without prior written permission.

• User Submissions: By submitting content (User Submissions) through the Service, you grant LanTIve Art Limited a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Company’s business.

7. Third Party Intellectual Property

LanTIve Art Limited respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with a written notification containing the information required by the Digital Millennium Copyright Act or applicable local laws.

8. Termination

LanTIve Art Limited may terminate your access to all or any part of the Service at any time, with or without cause, effective immediately, which may result in the forfeiture and destruction of all information associated with your membership. Any fees paid, including the 200 Kwacha membership fee, are non-refundable upon termination.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" AND IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. LANTIVE ART LIMITED DOES NOT WARRANT THAT THE SERVICE WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.

10. Limitation of Liability

IN NO EVENT SHALL LANTIVE ART LIMITED, NOR ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY FOR ANY LOST PROFITS, DATA LOSS, OR DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) ONE-HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT OF THE MEMBERSHIP FEE PAID, WHICHEVER IS HIGHER.

11. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Zambia. You agree that any action at law or in equity arising out of or relating to these terms shall be filed only in the courts located in Lusaka, Zambia.

12. Integration and Severability

The Terms of Use are the entire agreement between you and LanTIve Art Limited with respect to the Service and supersede all prior communications and proposals.
